These Terms and Conditions ("Terms") govern your access to and use of the websites, applications, AI-powered chat and voice services, SMS/text messaging programs, and related services (collectively, the "Services") provided by RPR Technologies LLC ("RPR Tech," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Overview of Services

Program Name: RPR Tech AI Assistant Messaging

RPR Technologies LLC provides an AI-powered business assistant platform that includes website chat widgets, voice AI (AI receptionist), and SMS/text messaging capabilities. Our Services are deployed by businesses ("Clients") to help their customers and website visitors get answers to questions, schedule appointments, receive follow-up notifications, and connect with human representatives when needed.

When you interact with an AI assistant powered by RPR Tech on a Client's website or phone system, these Terms apply to the messaging and communication services provided by RPR Tech's platform.

2. SMS/Text Messaging Terms of Service

RPR Tech AI Assistant Messaging Program

By providing your mobile phone number and opting in to receive text messages from RPR Tech or a business using RPR Tech's platform, you agree to the following:

  • Program Description: You will receive transactional and informational SMS messages related to your interaction with our AI assistant platform, including: appointment confirmations and reminders, chat follow-up notifications, human escalation alerts (when a live agent becomes available), inquiry status updates, and informational responses to questions you have asked.
  • Message Frequency: Message frequency varies based on your interactions with our Services. You will only receive messages related to conversations or appointments you have initiated.
  • Message and Data Rates: Message and data rates may apply. Contact your mobile carrier for details about your text messaging plan.
  • Opt-Out: You may opt out of receiving text messages at any time by texting STOP to the number from which you received a message. After sending STOP, you will receive a one-time confirmation message and will no longer receive SMS messages from our Services unless you opt in again.
  • Opt Back In: If you have previously opted out and wish to resume receiving messages, you may text START to the same number to re-subscribe.
  • Help: For help or more information, text HELP to the number from which you received a message, or contact us at (530) 317-0309 or info@rprtechllc.com.
  • Supported Carriers: Our messaging services are compatible with all major U.S. carriers including AT&T, Verizon, T-Mobile, Sprint, and others. Carriers are not liable for delayed or undelivered messages.
  • No Mobile Information Sharing: We will not share your mobile phone number or any opt-in information with third parties for marketing purposes. See our Privacy Policy for full details.

3. Consent to Receive Messages

By providing your phone number through any of the following methods, you expressly consent to receive transactional SMS messages from RPR Tech:

  • Entering your phone number in a chat widget on a website powered by our platform and checking the consent checkbox.
  • Calling a phone number connected to our AI voice assistant and verbally agreeing to receive a text follow-up.
  • Submitting a contact form or inquiry form that includes SMS consent language.
  • Texting the keyword START to a number associated with our Services.

Consent to receive text messages is not a condition of purchase or use of any of our Services. You may use our chat and voice services without opting in to SMS.

4. User Responsibilities

When using our Services, you agree to:

  • Provide accurate and current information, including your phone number and contact details.
  • Use our Services only for lawful purposes and in compliance with all applicable laws and regulations.
  • Not attempt to abuse, disrupt, or interfere with the operation of our Services, including our AI systems.
  • Not impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Not use our Services to send spam, unsolicited messages, or any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.

5. AI-Powered Services Disclaimer

Our Services utilize artificial intelligence to generate responses and assist with inquiries. While we strive for accuracy, AI-generated responses may occasionally be incomplete, inaccurate, or not fully applicable to your specific situation. Our AI assistant is not a substitute for professional advice (legal, medical, financial, or otherwise). You should independently verify any information provided by our AI assistant before making decisions based on it. We are not liable for any actions taken based on AI-generated responses.

6. Intellectual Property

All content, features, technology, and functionality of our Services, including but not limited to software, text, graphics, logos, and design elements, are the property of RPR Technologies LLC or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

7. Third-Party Services

Our Services may integrate with or contain links to third-party services (including but not limited to calendar providers, CRM systems, and payment processors). We are not responsible for the content, terms, or privacy practices of those third-party services. Your use of third-party services is governed by their respective terms and policies.

8. Limitation of Liability

To the fullest extent permitted by law, RPR Technologies LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or in connection with your use of our Services. Our total liability for any claims arising from your use of our Services shall not exceed the amount you have paid us, if any, in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless RPR Technologies LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of our Services, your violation of these Terms, or your violation of any rights of another party.

10. Termination

We reserve the right to suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination will remain in effect.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts located in the State of California.

12. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will revise the "Last Updated" date at the top of this page. Material changes may be communicated via email or notice on our website. Your continued use of our Services after any changes constitutes your acceptance of the updated Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RPR Technologies LLC regarding your use of our Services, and supersede any prior agreements or communications.
